New York LLCs pay an annual state filing fee based on New York-source gross income, from $25 for income under $100,000 up to $4,500, filed with Form IT-204-LL. New York City adds its own unincorporated business tax above certain income.

Online filings are typically processed within about a week. Expedited handling is $25 for 24-hour, $75 for same-day, and $150 for two-hour service.
What is different about New York
- • New York requires every new LLC to publish a notice in two newspapers for six consecutive weeks within 120 days, then file a Certificate of Publication for $50. In New York City that can cost more than a thousand dollars; upstate counties are much cheaper.
- • Naming a registered agent is optional in New York; the Secretary of State is the default agent for service of process.
- • The $200 filing fee is only the start once publication is added.

What else you pay in year one
- Registered agent. Free if you serve as your own agent at a New York street address; a service charges an annual fee if you would rather keep your address off the public record.
- EIN. Free from the IRS. Anyone charging for an EIN alone is charging for the form.
- Annual report or franchise tax. Most states ask for a yearly report and some charge a fee or tax with it; the amount and deadline are set by New York. Check the Secretary of State page before you file so the first renewal is not a surprise.
- Licences and permits. City and county rules depend on what the business does, not on the entity type.

- Not legally. The LLC loses the right to sue in New York courts until it complies. Some founders use a registered office address in a cheaper county to reduce the newspaper cost, which is allowed as long as it is the office named in the Articles.
